At Nexus V, we are committed to a client-centric, independent consulting relationship. We work exclusively on your behalf with complete transparency and no vendor bias. These Terms of Service, together with our Master Services Agreement (MSA) and any applicable Statement of Work (SOW), govern our engagement and are designed to create a clear, fair, and collaborative partnership.
By engaging Nexus V, you agree to these Terms of Service. In the event of any conflict, the Master Services Agreement and the applicable SOW will control.
Nexus V provides independent automation consulting, including feasibility studies, system design, vendor coordination, project management, and implementation support for AGV systems, conveyors, liquid batch processes, warehouse design, and material handling solutions.
You are solely responsible for all payments to third-party vendors, equipment suppliers, and system integrators. Nexus V does not sell, manufacture, or act as an agent for any equipment or hardware. We remain completely independent and vendor-neutral.
Nexus V retains ownership of all background intellectual property, methodologies, tools, and templates. Upon full payment, you receive ownership of the specific deliverables created for your project. You grant Nexus V a limited, non-exclusive license to use any information you provide solely to perform the services.
Both parties agree to maintain strict confidentiality of all proprietary information, including facility layouts, safety protocols, operational data, and hazardous material handling details. Nexus V will not share your information with equipment vendors or competitors.
Fees and payment terms are set forth in each SOW. You are responsible for timely payment of all invoices. Late payments may accrue interest at 1.5% per month.
Each party agrees to indemnify, defend, and hold harmless the other party from claims arising from its own negligence, willful misconduct, or breach of these terms.
Termination is governed by the MSA and active SOW. Termination does not relieve you of payment obligations for services already performed or deliverables accepted.
These Terms of Service, the MSA, and any SOW are governed by the laws of the State of Illinois, without regard to conflict of laws principles.
We act solely in your best interest. Our role is to provide objective, vendor-neutral recommendations and deliver systems that perform reliably under real-world industrial conditions. These terms are written to protect both parties while maintaining a transparent and collaborative partnership.
We may update these Terms from time to time. Continued use of our services after the updated terms are posted constitutes acceptance.
